Terms of Service

These Terms of Service (“Terms”) govern your access to and use of RestroPanel (the “Service”), provided by Smartpress LLC (“Smartpress”, “we”, “us”, or “our”). By creating an account or using the Service, you agree to be bound by these Terms.

1. Using RestroPanel

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

2. Subscriptions and Billing

• RestroPanel is offered on a subscription basis, billed in advance on a recurring (monthly or annual) basis.
• Payments are processed securely through Stripe. By subscribing, you authorize us to charge your chosen payment method.
• Subscriptions automatically renew until cancelled. You may cancel at any time, and your access will continue until the end of the current billing period.
• Fees are non-refundable except as required by law or as set out in our Refund Policy.

3. Your Data and Content

You retain all rights to the data you upload to the Service, including menus, orders, inventory, and staff records (“Customer Data”). You grant us a limited license to host, process, and display Customer Data solely to provide and improve the Service.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable regulations.
• Attempt to gain unauthorized access to the Service or other users' accounts or data.
• Interfere with or disrupt the integrity or performance of the Service.
• Reverse engineer, decompile, or attempt to extract the source code of the Service, except as permitted by law.

5. Intellectual Property

The Service, including its software, design, branding, and documentation, is owned by Smartpress LLC and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand features.

6. Termination

You may cancel your account at any time from your account settings. We may suspend or terminate your access to the Service if you breach these Terms, fail to pay applicable fees, or if required to do so by law.

7. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of Liability

To the maximum extent permitted by law, Smartpress LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or in connection with your use of the Service.

9. Governing Law

These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict of law principles.

10. Changes to These Terms

We may modify these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms on this page and updating the “Last updated” date above. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
